2. Acceptance of Terms

By accessing and using the services of Adaptlantis, you confirm your agreement to these Terms, as well as compliance with applicable laws. If you do not agree to these Terms, you must not use our services.

3. Eligibility

Our services are available to individuals and entities who can form legally binding contracts under applicable law. By using our services, you represent that you have the legal authority to enter into these Terms on behalf of yourself or the organization you represent.

4. Services Provided

Adaptlantis provides change management consulting services aimed at helping organizations navigate business transformations, improve organizational efficiency, and adopt new processes. We tailor our consulting services to meet the unique needs of each client.

5. Consulting Engagements

Each consulting engagement will be governed by a separate agreement that outlines the scope of work, deliverables, fees, timelines, and responsibilities of both parties. These agreements take precedence over any conflicting terms within these Terms of Service.

6. Changes to Terms

We may update these Terms from time to time. You will be notified of any material changes, and your continued use of our services following the posting of the revised Terms signifies your acceptance of those changes.

7. Client Responsibilities

Clients agree to:

Provide accurate and complete information necessary for the performance of consulting services.
Collaborate with Adaptlantis in good faith to achieve project goals.
Adhere to agreed timelines and provide feedback promptly.

8. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the consulting engagement. Neither party will use or disclose the other party’s confidential information for any purpose outside the scope of the agreed services.

9. Intellectual Property

Any materials, reports, or recommendations provided by Adaptlantis during the consulting process are the intellectual property of Adaptlantis. The client is granted a limited, non-exclusive, non-transferable license to use these materials for internal business purposes only.

10. Fees and Payment Terms

The fees for consulting services will be outlined in individual agreements. All fees must be paid according to the terms specified in those agreements. Failure to pay on time may result in suspension or termination of services.

11. Termination

Either party may terminate the consulting engagement by providing written notice to the other party. In the event of termination, the client agrees to pay for all services rendered up to the termination date, including any non-cancelable commitments made by Adaptlantis.

12. Limitation of Liability

To the fullest extent permitted by law, Adaptlantis shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits or data, arising from or related to the use of our services, even if we have been advised of the possibility of such damages.

13. Indemnification

You agree to indemnify and hold Adaptlantis, its employees, and affiliates harmless from any claims, liabilities, damages, or expenses, including legal fees, arising from your use of our services, or from your violation of these Terms.

14. Dispute Resolution

In the event of a dispute, the parties agree to first attempt to resolve the matter through good faith negotiations. If the dispute cannot be resolved, it shall be submitted to binding arbitration in accordance with the rules of the German Arbitration Institute (DIS). The arbitration shall take place in [City], Germany.

15. Governing Law

These Terms are governed by the laws of Germany. Any legal proceedings related to or arising out of these Terms shall be brought exclusively in the courts of [City], Germany.

16. Force Majeure

Neither party shall be liable for any delay or failure in performance resulting from causes beyond their reasonable control, including natural disasters, strikes, lockouts, or governmental orders.

17. Entire Agreement

These Terms, along with any consulting agreements, constitute the entire agreement between you and Adaptlantis concerning your use of our services. Any prior agreements, understandings, or communications are hereby superseded.
